ASB Merch Program (Startup)

This Agreement ("Agreement") is entered into on [Date], by and between [High School Name] Associated Student Body (ASB) ("ASB"), located at [School Address], and HollaPena ("Company"), located at [HollaPena Address].

1. Purpose

The purpose of this Agreement is to establish a partnership between the ASB and HollaPena for the production of school-branded apparel. This Agreement outlines the responsibilities and obligations of both parties in relation to the provision of equipment, training, and ongoing support for the production of apparel.

2. Equipment and Training

HollaPena agrees to provide the ASB with the following:

• One (1) 15"x15" clam shell heat press.
• Training for the use of the heat press and apparel production.
• Initial samples of apparel to assist in getting started.

3. Ordering and Artwork

• The ASB agrees to order all apparel (shirts, hoodies, and other soft apparel goods) exclusively through HollaPena.
• The ASB will submit the artwork to be applied to the apparel through HollaPena.
• HollaPena will assist in preparing the artwork for printing on a gang sheet. Any necessary modifications to the artwork requiring significant time will be billed at a rate of $65 per hour, prorated accordingly.

4. Exclusivity and Termination

• The ASB agrees not to order apparel or artwork from any other vendor. Violation of this clause will result in the immediate termination of this Agreement.
• A minimum order level of three (3) orders per month is required to keep the account active. Failure to meet this requirement may result in the termination of the account.

5. Order Fulfillment and Support

• HollaPena will strive to fulfill orders within an average of 2-4 days. Efforts will be made to expedite orders whenever possible.
• The ASB will have access to the owner of HollaPena for after-hours support and inquiries.

6. Cost and Profitability

• HollaPena commits to keeping costs as low as possible to maximize the ASB's profit margins.
• The ASB is encouraged to proactively reach out to local clubs, sports teams, and groups to generate apparel orders.

7. Term and Termination

• This Agreement shall commence on the date first written above and continue indefinitely unless terminated by either party with thirty (30) days' written notice.
• Either party may terminate this Agreement immediately if the other party breaches any material term of this Agreement.

8. Miscellaneous

• This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements and understandings, whether written or oral, relating to its subject matter.
• This Agreement may not be amended or modified except in writing signed by both parties.
• This Agreement shall be governed by and construed in accordance with the laws of the state of [State].
